Company Law is an important legislation that governs the structure, management and conduct of the affairs of companies. The authors are glad to present the second edition of this book. The Companies Act 2013 passed by the parliament has received the accent of the president of India on 29th August, 2013. The Act consolidates and amends the law relating to companies. On 12th September 2013, the Ministry of corporate Affairs (MCA) notified Rules relating corporate social responsibility activities to become effective from 01 April 2014. As a result, many of the key requirements of new companies Act 2013 Act including those relating to incorporation, management, board functioning, accounts and audit become effective from 1st April 2014.
The Companies Act 2013 comprises of 470 Sections and 7 Schedules. In order to have a better understanding of the subject, one has to read the provisions of the Act along with the notified Rules made thereunder. The Act aims to improve corporate governance, simplify regulations and enhance the interests of minority investors.
The Companies Act 2013 introduced new concepts like One Person Company, Associate Company, Small Company, Dormant Company, Private Placement, Independent Directors, Appointment of Women Directors, Rotation of Auditors, Internal Audit, Audit Committee, CSR Initiatives, Postal ballot etc.,
